A Bookkeeping Services Agreement is a formal contract between a client and a bookkeeper that establishes the terms under which financial record-keeping services are provided, including the scope of work, payment structure, confidentiality duties, dispute resolution, and more.

Wordlayouts’ expertly drafted Bookkeeping Agreement template includes all standard clauses to create a clear, comprehensive, and legally sound agreement between the parties.

This template is carefully worded to reduce the risk of unclear or informal arrangements between clients and bookkeepers. It helps the parties avoid common legal or practical troubles they might run into during the course of a typical bookkeeping engagement:

  • Unclear roles & responsibilities
  • Disputes over payment
  • Confidentiality breaches
  • Legal liability issues
  • Financial loss
  • Termination procedures
  • Legal protections
  • Unsatisfactory performance

Read on to learn what each clause of this contract means and how you can fill it in to create a thorough document.

Bookkeeping Agreement Template: A Complete Guide

Let’s start with the basics. Right at the top, enter the exact date the contract is signed. All rights & remedies available under the agreement become effective as of this date.

Basic Details in Bookkeeping Contract Template.Pin

Now, clearly identify both parties to the contract: the Client and the Bookkeeper/Accountant. This way, there’s no dispute or confusion about who is hiring whom:

  • Legal or registered names, as they appear on government-issued ID or company registration documents
  • An updated postal address (including full street address, building/lot number, and ZIP code)

Once you have added the basic details, you can now move on to the contract details. Let us look at each clause one by one and how to fill it.

I. Scope of services

Be as specific as possible about what the bookkeeper is expected to do. To avoid confusion, also include what the bookkeeper is NOT expected to do. This helps everyone set clear expectations about each other’s roles & responsibilities once the contract kicks off.

Scope of Services in Bookkeeping Contract Template.Pin

For a typical bookkeeping contract, this section might look something like this:

Included services

The Bookkeeper will provide the following services:

  • Recording and categorizing financial transactions
  • Maintaining general ledgers and a chart of accounts
  • Reconciling bank and credit card accounts
  • Managing accounts payable and accounts receivable records

Excluded services

Unless specifically agreed to in writing, the bookkeeper will not:

  • Provide legal advice
  • Provide tax advice or tax planning services
  • Represent the client before tax authorities

II. Client obligations

Bookkeeping is a collaborative process. The quality and accuracy of the bookkeeper’s work depend largely on the information, records, and cooperation provided by the client.

Client Obligations in Bookkeeping Contract Template.Pin

What does this section of the agreement template do? It outlines the client’s responsibilities and helps ensure that bookkeeping services can be performed efficiently and accurately.

The client is generally required to do the following:

  • Provide complete, accurate, and up-to-date financial information.
  • Supply all records, receipts, invoices, bank statements, payroll information, and other documents reasonably required by the bookkeeper.
  • Respond promptly to requests for information, clarification, or supporting documentation.
  • Provide access to accounting software, financial systems, and relevant business records where necessary.

Use this space to describe the client’s obligations and cooperation requirements. For instance, you can include specific deadlines for providing records, designating a primary contact person, or requiring the client to maintain backups of important financial documents.

III. Compensation

Now, let’s talk money.  This clause in the agreement sets out the complete payment structure for bookkeeping services by indicating how much you will pay and when payments are due. Clear payment terms help avoid disputes and keep both parties accountable.

Compensation in Bookkeeping Contract Template.Pin
  • Step 1: Payment Amount: Decide how the total payable amount is calculated, whether hourly, per service, or a flat fee for all agreed-upon services. For a custom pay rate, use the ‘Other’ option.
  • Step 2: Payment Schedule: Use this section to decide how frequently payments are made, say, monthly, quarterly, annually, or upon completion of all services.
  • Step 3: Payment Method: Choose a payment method that works for both parties, whether via cash, check, ACH transfer, or any other method mutually agreed upon.

Late payment penalties

To ensure payments are made on schedule, the subclause stipulates a penalty for late payments as well.

IV. Retainer

A retainer is essentially a payment made in advance to secure a professional’s time, services, or availability over a defined period. Decide whether the Client must pay a retainer before work begins and how that payment will be handled through this clause in the agreement.

Retainer in Bookkeeping Contract Template.Pin

If no upfront payment is required, select “No Retainer Required” in the template.

 If a retainer applies:

  • Enter the amount and confirm whether it will be credited toward the final invoice.
  • Decide whether the retainer is refundable or non-refundable.
  • If refundable, specify the cancellation notice period required for a refund.

Nonrefundable retainers are commonly used to reserve the bookkeeper’s availability and cover initial onboarding and setup costs.

Expert Tip

Consider how much financial risk each party is willing to accept if the service is delayed, changed, or canceled.

V. Reimbursement of expenses

Having a clear reimbursement policy reduces the possibility of a client being surprised when they receive an invoice from the bookkeeper.

Reimbursement of Expenses in Bookkeeping Contract Template.Pin

Specify whether the client reimburses the bookkeeper for any out-of-pocket expenses, such as travel expenses, courier services, or government filing fees incurred on the client’s behalf.

Tick the option that applies:

  • Option A: The Client is NOT responsible for reimbursing.
  • Option B: The Client must reimburse within X number of days (to be filled in by the user). Note: All reimbursable expenses must be properly itemized and accompanied by original receipts.

Is there a limit on how much a bookkeeper can be reimbursed for?

Yes. This contract gives you the option to define a maximum ‘reimbursable’ amount. Any expense exceeding this amount requires the client’s prior approval in writing.

VI. Termination

The termination clauses define how the engagement with the bookkeeper will end. Once terminated, all rights and responsibilities under the agreement become void.

Termination in Bookkeeping Contract Template.Pin

That said, some provisions of a bookkeeping contract may survive the contract term, such as confidentiality duties, which typically last even after the contract ends.

You have two options here:

  1. Fixed Term: Contract ends on a fixed date (to be specified by the user). No written notice of termination is needed. To extend the contract, both parties must agree to do so in writing.
  2. At-will: Either party can terminate the contract as long as they give written notice to the other party. You can specify the notice period in the space provided in the contract template.
  3. For any termination method not listed above, select the “Other” option and add the terms and conditions in the space provided.

Under at-will terminations, either party can end the contract at any time, even without a legal ground to do so. This creates a safety net in case either party wishes to end the contract due to unforeseen circumstances or unsatisfactory performance.

If the canceling party is the client, the bookkeeper must be duly compensated for any services provided up to the point of termination.

VII. Nature of work relationship

This clause of the contract clarifies that the bookkeeper is not an employee, partner, or agent of the client. Without this clause, the arrangement could look “employment-like” or ‘’business-like’’ on paper, even if both sides intended it to be freelance.

Nature of Work Relationship in Bookkeeping Contract Template.Pin

Moreover, the clause clearly states that the bookkeeper has no power to represent the client in any official capacity or incur liability on behalf of the client. Doing so may be considered a material breach of the contract by the courts.

Practical Legal Insight

Each type of professional relationship carries its own set of risks & rewards. Contracts are designed to reflect these differences. For example, a bookkeeper is not entitled to the same benefits or allowances as a regular salaried employee, such as pension, overtime pay, or health insurance.

VIII. Taxes

Confirm that the Bookkeeper works as an independent contractor, not an employee. This means, under the current IRS guidelines, they must handle their own tax filings and payments.

Taxes in Bookkeeping Contract Template.Pin

This provision assigns all tax responsibilities to the bookkeeper, which means the Client doesn’t pay or withhold any taxes on their behalf. The Bookkeeper also indemnifies the Client harmless against any claims or liabilities arising from the Bookkeeper’s failure to satisfy such tax obligations.

The bookkeeper alone is responsible for paying:

  • Any income tax
  • Self-employment tax
  • Social Security (FICA)
  • Medicare
  • Unemployment Insurance
  • Any other payroll or tax obligations

This provision is particularly important for growing businesses, as it shields the client from unexpected tax liabilities, penalties, or compliance issues while clearly establishing the bookkeeper’s independent contractor status.

Independent contractor tax reporting (1099-NEC requirement)

If the bookkeeper earns $600 or more in a tax year, the client is generally required to issue a Form 1099-NEC reporting the total amount paid, with copies sent to both the bookkeeper and the Internal Revenue Service.

IX. Confidentiality

Sensitive information is often shared by the client with the bookkeeper, from bank account details and payroll records to tax documents.

A breach on the part of the bookkeeper can result in irreparable damage or loss for the client. Make sure the bookkeeper knows this.

Confidentiality in Bookkeeping Contract Template.Pin

Limitations on confidentiality obligations

That said, this duty cannot create any liability for the bookkeeper if the information becomes public otherwise or is required by law, for example, as part of a criminal investigation.

Moreover, the contract requires the bookkeeper to make sure that any of their employees or agents with access to the client’s information are bound by the same confidentiality regime.

Types of confidential information included by default…

  • Financial records
  • Business operations
  • Client data
  • Vendor data
  • Payroll information
  • Other sensitive materials

In the template, you can use the blank space to indicate how long the confidentiality duty lasts after the contract ends. Feel free to customize the types of information to your specific industry, job, and service.

(i) Injunctive relief

Without a way of legal redress through courts, a confidentiality duty has no point. This section outlines the practical legal remedies available to the client if the bookkeeper breaches this duty.

  • Monetary damages, whereby a court may ask the bookkeeper to pay for financial losses, reputational harm, or other damages caused by the bookkeeper’s breach of the duty.
  • Injunctive relief, whereby a court may require the bookkeeper to do something or to stop doing something.
  • Any other remedy available at law or in equity.

X. Representations and warranties

Think of this section of the contract as a general commitment by the bookkeeper to comply with relevant industry standards and applicable laws, as well as act in good faith based on the information provided by the client.

Representations and Warranties in Bookkeeping Contract Template.Pin

Without this section, the client has little assurance that the bookkeeper will make reasonable efforts to avoid inaccuracies in their financial reports.

Keep in mind that both parties must have legal authority to enter the agreement. In most commercial companies, only CEOs, directors, or senior managers have the authority to sign contracts and legally bind a company.

The client’s warranties

The client promises:

  • Accuracy and completeness of any financial information shared with the bookkeeper.
  • That they have the legal authority to engage the services of the bookkeeper.

Why this clause matters: Representations are points on which a party ‘represents’ itself, allowing both parties to rely on information that was originally disclosed or agreed upon.

XI. Limitation of liability

When forging new relations in the professional world, there’s always the looming, somewhat ominous question of “What happens if things go wrong?” Suppose someone is physically injured, or a confidential document is recklessly leaked.

Limitation of Liability in Bookkeeping Contract Template.Pin

Situations like these call for a liability clause. In our template, we include a general ‘Limitation of Liability’ clause to clearly state that neither party is liable for any delay or failure to do the work due to uncontrollable events such as the following:

  • Natural disasters
  • Illness
  • Governmental actions
  • Labor disputes,
  • Technical failures not caused by the Bookkeeper’s negligence.

note

You can customize this list to your specific bookkeeping needs or professional context.

What happens if, let’s say, the client loses a major customer because a financial report contained an error?

In a situation like this, the bookkeeper would generally not be responsible for those indirect or consequential losses, which may include lost revenue, reputational harm, or other knock-on business losses.

Likewise, if the client’s accounting software crashes and historical records are lost, the bookkeeper would not be liable for any damages to the business resulting from the loss of data, unless otherwise required by law or expressly stated in the agreement.

XII. Dispute resolution

To reduce uncertainty and minimize the cost of going to court, it is important to establish a clear dispute resolution process before signing the contract.

Dispute Resolution in Bookkeeping Contract Template.Pin

Our default DR framework allows both parties to resolve conflicts quickly and efficiently.

  • Step 1: Good-Faith Negotiations: The parties must try to resolve the dispute through informal discussions and good-faith negotiations.
  • Step 2: Mediation: If negotiations are unsuccessful, the dispute shall be submitted to non-binding mediation before a mutually agreed mediator.
  • Step 3: Binding Arbitration: If mediation also fails to resolve the matter, the dispute shall be settled through binding arbitration, where each side may present arguments, witnesses, and evidence.

You can specify your chosen arbitration body and its location (city/state). This helps avoid confusion regarding which procedural rules, venue, and enforcement will apply in case of a dispute.

Legal Insight

Although dispute resolution clauses are often grouped with boilerplate provisions, they are far more significant in practice. Because these clauses directly affect litigation rights, arbitration procedures, jurisdiction, venue, and the enforceability of legal remedies, they are one of the most carefully negotiated provisions in many contracts.

XIII. No waiver

Not enforcing a rule once doesn’t mean giving it up forever. The No Waiver clause prevents both sides from losing rights accidentally or creating a precedent for doing nothing.

No Waiver in Bookkeeping Contract Template.Pin

For example, if the client allows the bookkeeper to submit a monthly report a few days late without objecting, that does not mean the client has permanently waived the right to require timely reporting in the future.

Similarly, if the bookkeeper accepts a late payment without immediately charging a late fee or exercising other contractual remedies, the bookkeeper may still enforce those rights later under the agreement.

Procedure for waiving rights

Parties must waive a right in writing for it to be effective. The waiver must also be signed by the party granting the waiver, and the other party must be informed of the waiver as soon as practically possible.

XIV. Amendments

Need to amend the original contract? For example, parties may want to extend the contract or add a new service.

Amendments in Bookkeeping Contract Template.Pin

Changes must be:

  • Put in writing
  • Mutually agreed upon by both parties
  • Duly signed & dated

For a bookkeeping contract, the amendment clause is especially useful when:

  • The client wants additional bookkeeping services.
  • The parties agree to change the monthly fee.
  • Working hours or deadlines need to be adjusted.
  • New reporting requirements are added.
  • The contract term is extended or shortened.

XV. Governing law

It’s advisable to specify in advance which state’s laws will govern your bookkeeping agreement in the event of a dispute. Clearly identifying the governing jurisdiction, such as “Florida” or “Illinois,” helps avoid confusion over which legal rules and court procedures will apply.

Governing Law in Bookkeeping Contract Template.Pin

This clause is important because:

  • The parties may be based in different states or countries.
  • Courts may apply their own local laws, which may not match the parties’ expectations.
  • Governing law influences how risks, liabilities, disputes, and available remedies are interpreted and enforced.

XVI. Severability

As the name suggests, a severability clause allows any invalid or unenforceable part of the agreement to be removed without affecting the rest of the contract.

Severability in Bookkeeping Contract Template.Pin

What does this clause do? Protects both parties by ensuring that one problematic provision does not make the entire bookkeeping agreement unenforceable.

XVII. Additional terms and conditions

This section of the contract allows the parties to include any additional bookkeeping terms or special arrangements not covered in the agreement.

Additional Terms and Conditions in Bookkeeping Contract Template.Pin

While many bookkeeping engagements may not require extra provisions, this section can be used to address client-specific requirements, reporting preferences, software access, confidentiality expectations, or other unique service terms.

XVIII. Entire agreement

What if the parties later make an informal arrangement that conflicts with the contract? Or what if there were earlier agreements covering the same services? This clause clarifies which terms take priority.

Entire Agreement in Bookkeeping Contract Template.Pin

Any new term of understanding must be formalized in writing and signed by both parties.

Signatures: How to Duly Execute a Bookkeeping Agreement?

Both parties must sign and date to legally close the deal. Here’s everything you need to know before and after signing a bookkeeping contract:

  • Signatures may be handwritten or electronic.
  • Sign the contract before any services begin to avoid disputes or wasted resources.
  • Most U.S. bookkeeping agreements do not require witnesses or notarization.
  • Before signing, carefully review all terms for accuracy, clarity, and legal compliance.
  • After signing, each party should keep a copy of the agreement in a safe place.
  • If someone is signing on behalf of a party, confirm they have proper legal authority, such as a Power of Attorney or corporate authorization.
